Terms and Conditions of Sale 2024

1. Acceptance of Terms

1.1 By engaging with Compare Biomarket®, customers acknowledge their understanding and complete acceptance of these Terms and Conditions of Sale. 

This policy means that you agree to the rules and guidelines we've set out here by using our platform or services.

2. Service Overview

2.1 Biospecimen Comparison: Compare Biomarket® provides a platform that allows users to obtain and compare quotations for clinical biospecimens.

 

This policy is the core of what we offer – a straightforward way for you to compare quotations and make informed choices.

 

3. Product Specifications

3.1 Adherence to Specifications: Products offered by Compare Biomarket® adhere strictly to the specifications outlined in the corresponding quotation.

 

You can be confident that what you've been quoted for is what you'll receive, ensuring the integrity of your research.

 

4. Quotations

4.1 Validity: Unless otherwise stated, all quotations from Compare Biomarket® are valid for thirty (30) days from the issue date.

 

This policy gives you a set timeframe to make decisions based on the quotations provided, ensuring clarity in your decision-making process.

 

5. Pricing, Invoicing, and Payment

5.1 Price Adjustments: Prices may be subject to change without prior notice to the Client under certain particular circumstances as detailed herein. Quoted prices by Compare Biomarket® will remain firm for sixty (60) days following the date we received your Purchase Order (PO) unless both parties confirm a different arrangement in writing.

5.2 Special Adjustments to Cost: Compare Biomarket® reserves the right to adjust the costs delineated in an invoice up to ten (10) business days before delivery due to reasons such as:

(a) external factors beyond our control, like foreign exchange fluctuations, tax increments, duty hikes, or rises in labour, material, manufacturing, and shipping costs;

(b) modifications requested by the Client, be it alterations to delivery dates, variations in material quantities or types, or changes in the provided specification;

(c) disruptions or postponements instigated by Client-led instructions or a lack of proper guidance and precise information from the Client.

5.3 Payment Terms: All payments from the Client should be settled within thirty (30) days of receiving each invoice. The Client is responsible for all pertinent country-specific Sales Taxes, Value Added Taxes, and Goods and Services Taxes. Late payments will accrue interest, calculated daily, at the highest permissible rate by law. The Client cannot leverage credits, offsets, or counterclaims against Compare Biomarket® to justify partial or complete withholding of due amounts. Both parties will separately agree upon the payment method.

5.4 Payment Clarification: All financial transactions under this agreement are strictly for Services, Products, or Data. They do not pertain to the Materials or Clinical Data themselves.

6. Shipping and Delivery

6.1 Shipping Expertise: In partnership with a globally recognized life sciences logistics specialist, Compare Biomarket® provides industry-leading expertise, ensuring biosamples are managed with utmost care and proficiency throughout transit.

6.2 Regulatory Adherence: We adhere rigorously to international shipping guidelines, ensuring biosamples are transported wholly and safely compliant with global regulations.

6.3 Temperature Control: To ensure the preservation of your clinical samples, we employ advanced temperature-controlled shipping solutions, guarding against potential damage from temperature fluctuations.

6.4 Custom Solutions: Recognizing the unique needs of specific shipments, we collaborate closely with our logistics partner to offer tailored shipping solutions, from specialized packaging to bespoke transportation routes.

6.5 Global Coverage: With a wide-reaching network, we guarantee efficient and reliable delivery of clinical biosamples to any global location.

6.6 Monitoring and Updates: Offering 24/7 access to real-time updates, we ensure customers are continually informed about the status of their shipment, with a dedicated team available to address any concerns.

6.7 Risk Management: We understand the risks associated with transporting clinical biospecimens. Our systems, from proactive monitoring to contingency planning, are designed to manage and mitigate these risks effectively.

6.8 All-Inclusive Charges: All import duties and customs charges are fully included in our shipping costs. Compare Biomarket® ensures the shipment reaches your laboratory's receiving area without additional charges beyond the compulsory Sales or Value Added Taxes mandated at the relevant national body level. 

6.9 Superior Shipping Experience: At Compare Biomarket®, we combine our expertise with our renowned logistics partner, ensuring each biosample is treated with the utmost care and respect. Don't hesitate to contact us for additional details about our shipping services or to request a quote.

7. Return, Reporting and Replacement

7.1 Return Policy: Given the nature of our products and services, we cannot accept returns. However, Compare Biomarket® operates a straightforward replacement policy for biospecimens that do not match the specifications outlined in the quotation.

7.2 Reporting Damages or Discrepancies: Damages must be promptly reported upon delivery, accompanied by photographic evidence. Incorrect or out-of-specification biospecimens should be notified when any issues are discovered, with supporting photographic or other relevant evidence. This immediate reporting aids in our internal and external investigations with our partners and results in a speedy resolution for our customers.

7.3 Replacement Policy: In case of discrepancies or damages, our policy is to replace the affected biospecimens per the abovementioned conditions.

We're committed to delivering products that match the exact quality and specifications you ordered. If something isn't right, we'll make it right. 

8. Liability Limitation

8.1 Limitation Scope: Compare Biomarket® shall not be liable for any indirect, special, consequential, or punitive damages arising from or related to the products provided.

This policy clarifies the boundaries of our responsibility, helping you understand our obligations and potential limitations.

9. Intellectual Property

9.1 Ownership: All intellectual property rights in and to the products, including but not limited to copyrights, patents, trade secrets, and trademarks, remain the exclusive property of Compare Biomarket® or its clinical site partners.

10. Governing Law

10.1 Jurisdiction: These Terms and Conditions of Sale shall be governed by and construed following the laws of England in which Compare Biomarket® is registered.

If there are any legal concerns or disputes, this clarifies the legal framework we'll use to address them.

11. Amendments

11.1 Policy Updates: Compare Biomarket® reserves the right to update or modify these Terms and Conditions of Sale without prior notice.
